Once commenced, the Act will repeal all existing company law statutes and the majority of related statutory instruments. The Act provides a consolidated and current company law code for its users, who include companies, directors, professional advisers and shareholders.
The main areas of change under the Act relate to new company types, the summary approval procedure and directors’ compliance statements. There are also audit and accounting changes relating to audit exemption and the directors’ disclosure requirements in financial statements. The Act also codifies the duties of company directors.
